Terms of Service

Effective date: [EFFECTIVE DATE] · Provider: [LEGAL ENTITY NAME], an Ohio limited liability company ("ArchTruth", "we", "us") · Contact: mike@mikereams.com

These Terms govern your use of the ArchTruth service at archtruth.app, its APIs and MCP server, and related documentation (together, the "Service"). By creating an account, joining a workspace, or using the Service you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind it, and "you" means that organisation.

1. Accounts and workspaces

You must provide a valid email address and keep your sign-in credentials and API keys confidential. A workspace is administered by its owners; owners control membership, roles, billing, API keys and policies, and are responsible for the actions of members and of any software (including AI agents) using the workspace's API keys. You must be at least 18 years old to use the Service.

2. Your content and your ServiceNow data

You retain all rights to the diagrams, documents, decision records and other material you create or upload ("Content"). You grant us a licence to host, process, display and transmit Content solely to provide the Service to you and your workspace members.

When you connect a ServiceNow instance, the Service reads configuration data through the credentials and OAuth scopes you authorise and stores a copy of the records needed to render and refresh your diagrams. The Service does not write to your ServiceNow instance unless a write-back feature is explicitly enabled by you and documented as such. You are responsible for having the right to connect that instance and to process the data it contains, and for complying with your organisation's policies.

You may export your Content at any time in plain-text formats (DSL, Markdown, SVG, PNG, CSV, JSON). On termination we delete your Content within 30 days, except where retention is required by law or for backups that expire on their normal schedule.

3. AI features

Some features send your Content, prompts and related ServiceNow records to a third-party model provider (currently Anthropic) to generate or edit diagrams, draft decision records, or answer requests. Output is generated automatically and may be wrong; review it before relying on it. AI usage is metered per plan. We do not use your Content to train models, and our model provider is contractually bound not to train on it.

4. Acceptable use

You will not: use the Service to store or transmit unlawful, infringing or malicious material; probe, scan or disrupt the Service or its infrastructure; exceed documented rate limits or circumvent plan entitlements or policies; share one paid seat among several people; reverse-engineer the Service except where the law permits; or resell the Service without our written agreement.

5. Plans, fees and billing

Paid plans are billed per seat, monthly in advance, through Stripe, which acts as merchant of record; Stripe's terms and privacy policy apply to payment processing. Every workspace member occupies a seat; seat changes take effect immediately and are prorated under Stripe's standard rules. Prices are listed at archtruth.app/pricing and may change with at least 30 days' notice by email; changes apply from your next billing period. Taxes are calculated and collected at checkout. If a payment fails, we may downgrade the workspace to the Free plan after a grace period; your Content remains available for export.

Cancellation and refunds. You may cancel at any time from Settings → Billing. Access to paid features continues until the end of the current billing period. Fees already paid are not refunded except where required by law or where we terminate the Service for convenience under section 9, in which case we refund the unused portion of prepaid fees.

Enterprise plans are governed by a separate written agreement that prevails over these Terms where they conflict.

6. APIs, MCP and agents

API keys are scoped to one workspace and may be revoked at any time by an owner. You are responsible for all activity performed with your keys, including by automated agents. Rate limits and concurrency rules are documented at archtruth.app/docs/api. We may change the API with reasonable notice; breaking changes to a versioned API path will be announced at least 60 days in advance where practicable.

7. Availability, support and changes

The Service is provided on a commercially reasonable basis without a guaranteed uptime unless an Enterprise agreement says otherwise. We may add, change or discontinue features; we will not materially reduce the core functionality of a paid plan during a paid period without notice and a refund option. Support is by email at mike@mikereams.com.

8. Intellectual property and feedback

The Service, including its software, DSL, documentation and branding, is owned by us and our licensors. These Terms do not transfer any rights in the Service to you. If you send us feedback, we may use it without obligation to you.

9. Term and termination

These Terms apply while you use the Service. You may stop using the Service and delete your workspace at any time. We may suspend or terminate your access if you materially breach these Terms, if required by law, or for convenience with 30 days' notice. Sections 2 (export and deletion), 8, 10, 11 and 12 survive termination.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. DIAGRAMS, CHANGE REQUESTS AND DECISION RECORDS PRODUCED WITH THE SERVICE ARE AIDS TO YOUR OWN JUDGEMENT; YOU REMAIN RESPONSIBLE FOR THE ACCURACY OF YOUR CONFIGURATION DATA AND FOR ANY CHANGES YOU MAKE TO YOUR SYSTEMS.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER PARTY IS LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, ARISING FROM THESE TERMS OR THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY TWELVE-MONTH PERIOD WILL NOT EXCEED THE FEES YOU PAID US FOR THE SERVICE IN THAT PERIOD (OR US$100 IF YOU PAID NONE). THESE LIMITS DO NOT APPLY TO A PARTY'S BREACH OF SECTION 4, INFRINGEMENT OF THE OTHER PARTY'S INTELLECTUAL PROPERTY, OR LIABILITY THAT CANNOT BE LIMITED BY LAW.

12. Governing law and disputes

These Terms are governed by the laws of the State of Ohio, USA, without regard to its conflict-of-laws rules. The state and federal courts located in Ohio have exclusive jurisdiction over disputes arising from these Terms, and each party consents to that jurisdiction. Before filing a claim, the parties will try in good faith to resolve the dispute by email within 30 days.

13. General

These Terms, the Privacy Policy and any Enterprise agreement are the entire agreement between us regarding the Service. We may update these Terms; material changes will be announced by email or in the Service at least 14 days before they take effect, and continued use after that date is acceptance. If any provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Notices to us go to mike@mikereams.com; notices to you go to your account email.
